Terms of Service

Welcome to Ukivu. This Terms of Service document governs your access to and use of the Ukivu app discovery platform available at ukivu.com (the "Site") and the accompanying services (the "Platform"). By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

These Terms establish a binding agreement between Ukivu and you, the user. Your continued use of the Platform constitutes assent to these Terms as they may be amended from time to time. We will publish any material changes and indicate an updated effective date. If you disagree with any modification, you should stop using the Platform and, if applicable, deactivate your account.

2. Changes to Terms

Ukivu reserves the right to revise these Terms at its sole discretion. We will provide reasonable notice of material changes and update the Terms accordingly. Your continued access to or use of the Platform after such changes constitutes acceptance of the revised Terms.

3. Intellectual Property

All content provided on or through the Platformâ€”including the Ukivu name, logo, design, text, graphics, and underlying software (collectively, the "Ukivu Content")â€”is owned by or licensed to Ukivu and is protected by applicable intellectual property laws. You may view and use Ukivu Content for personal, non-commercial purposes or as otherwise permitted by Ukivu in writing. Reproduction, distribution, modification, republication, or display of Ukivu Content outside the Platform requires prior written consent from Ukivu.

4. Use of the Platform

The Platform is designed to help users discover apps. You agree to use the Platform in compliance with all applicable laws and regulations and to refrain from conduct that could impair the Platformâ€™s integrity or access by others, including unauthorized data collection, distributing malware, or infringing third-party rights.

5. Third-Party Content and Google Play Hosting

Ukivu may provide listings, references, or links to apps that are hosted on Google Play. The actual apps are hosted and operated by Google Play and our respective publishers, not by Ukivu. Ukivu does not host, maintain, or control the apps themselves. Any installation, purchase, or use of those apps is governed by Google Playâ€™s terms of service and the publisherâ€™s terms, not these Terms of Service. While we strive to present accurate information about third-party apps, we do not guarantee their availability, safety, performance, or compatibility with your device. Your interactions with third-party apps and content are solely between you and the applicable third parties, and Ukivu bears no responsibility for such content or services. By using the Platform, you acknowledge that your relationship with third-party apps is governed by the respective third partiesâ€™ terms and privacy policies.

6. User Content

You may contribute reviews, feedback, comments, or other content (collectively, "User Content"). By submitting User Content, you grant Ukivu a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with the Platform. You remain responsible for the legality and accuracy of your User Content and for ensuring that it does not infringe any third-party rights or violate these Terms. Ukivu reserves the right to remove or modify User Content that violates this Agreement or applicable laws.

7. Disclaimers

THE PLATFORM AND ALL CONTENT, SERVICES, AND MATERIALS PROVIDED THEREIN ARE DELIVERED ON AN â€œAS ISâ€ AND â€œAS AVAILABLEâ€ BASIS WITHOUT WARRANTIES OF ANY KIND. UKIVU EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. UKIVU DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. INFORMATION ABOUT APPS LISTED ON THE PLATFORM MAY BE INCOMPLETE OR INACCURATE, AND UKIVU DOES NOT GUARANTEE THE ACCURACY OR TIMELINESS OF SUCH INFORMATION. YOUR USE OF THE PLATFORM AND RELIANCE ON ITS CONTENT IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UKIVU AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR THIRD-PARTY CONTENT. IN NO EVENT SHALL UKIVUâ€™S AGGREGATE LIABILITY EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO UKIVU FOR THE PLATFORM IN THE SIX MONTHS PRECEDING THE CLAIM. THIS LIMITATION OF LIABILITY APPLIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

9. Indemnification

You agree to indemnify, defend, and hold Ukivu and its officers, directors, employees, and affiliates harmless from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneysâ€™ fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or relating to these Terms, except for disputes that Ukivu elects to resolve by arbitration in accordance with its then-current dispute resolution policy. If any provision is found unenforceable, the remaining provisions shall continue in full effect.

11. Termination

We may suspend or terminate your access to the Platform at our sole discretion for violation of these Terms, breach of law, or safety concerns. Termination does not relieve you of obligations incurred prior to termination. Provisions that by their nature should survive termination shall survive.

12. Miscellaneous

These Terms constitute the entire agreement between you and Ukivu regarding the Platform and supersede all prior communications. No delay or failure by Ukivu to enforce any right under these Terms shall constitute a waiver of such right. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
